Terms of Use

These Terms of Use ("Terms") constitute a legally binding agreement between you and Valiri LLC ("Company", "we", "us", or "our") governing your access to and use of the Uranum Stack website and service located at uranumstack.com (the "Service").

By creating an account, accessing, or using the Service, you acknowledge that you have read, understood, and agree to be bound by these Terms. If you do not agree to these Terms, you may not access or use the Service.

Uranum Stack is a cloud-based astronomical video processing service that transforms planetary astrophotography videos into stacked images. The Service includes:

• Video upload and processing
• Image stacking and enhancement algorithms
• Cloud-based processing infrastructure
• Result download and storage

The Service is offered in multiple tiers: Free, Starter, and Pro, each with different processing quotas, storage limits, and features.

To access the Service, you must create an account. You agree to:

• Be at least 18 years of age, or have parental/guardian consent
• Provide accurate, current, and complete registration information
• Maintain only one account per person
• Verify your email address before using processing features
• Keep your login credentials secure and confidential
• Notify us immediately of any unauthorized account access

You are solely responsible for all activities that occur under your account, whether or not you authorized such activities.

Paid subscription plans are available with the following terms:

• Auto-Renewal: Auto-Renewal: Subscriptions automatically renew at the end of each billing period (monthly or annual) unless cancelled before the renewal date.
• Pricing: Pricing: We reserve the right to change subscription prices with 30 days' advance notice. Price changes take effect at the next billing cycle.
• Payment Processing: Payment Processing: All payments are processed securely through Stripe. We do not store your payment card information.
• Currency: Currency: Prices are displayed in BRL for Brazilian customers and USD for international customers.
• No Refunds: No Refunds: Except as required by applicable law in your jurisdiction, all subscription fees are non-refundable. No pro-rata credits are provided for mid-cycle downgrades or cancellations.
• Failed Payments: Failed Payments: If payment fails, we may immediately suspend your access until payment is successfully processed.
• Quotas: Quotas: Unused monthly processing quotas do not roll over to the next month.

The Service is intended for personal and hobbyist use in amateur astrophotography. You agree NOT to:

• Use the Service for industrial-scale or commercial processing without an enterprise agreement
• Process more than 50 videos per day or engage in automated/bot-driven uploads
• Share your account credentials or allow others to access your account
• Circumvent usage quotas, rate limits, or other technical restrictions
• Upload or process content that is illegal, infringes third-party rights, or is objectionable
• Reverse engineer, decompile, or attempt to extract the source code of the Service
• Use the Service to develop a competing product or service
• Resell or redistribute processed images for commercial purposes without authorization

Your Content: Your Content: You retain ownership of all videos you upload and images you process through the Service.

License Grant: License Grant: By uploading content to the Service, you grant Valiri LLC a worldwide, royalty-free, sublicensable license to process, store, display, modify, and create derivative works of your content solely to operate and improve the Service.

Analytics: Analytics: You grant us the right to use anonymized and aggregated data derived from your usage for analytics, service improvement, and research purposes.

Marketing: Marketing: We may use your processed images for marketing and promotional purposes. You can opt out by contacting us at privacy@uranumstack.com.

You represent and warrant that you have all necessary rights to the content you upload and that your content does not infringe any third-party rights.

To the extent permitted by law, you waive any moral rights you may have in content processed through the Service.

Feedback: Feedback: Any feedback, suggestions, or ideas you provide to us become our property, and we may use them without compensation or attribution to you.

Company IP: Company IP: All intellectual property rights in the Service, including algorithms, software, user interface, and branding, remain the exclusive property of Valiri LLC.

DMCA: DMCA: We comply with the Digital Millennium Copyright Act. To report copyright infringement, contact us at privacy@uranumstack.com with a detailed notice.

The Service is provided on an "as available" basis. We make no guarantees regarding:

• Service uptime or availability
• Processing speed or completion times
• Uninterrupted or error-free operation
• Data loss or corruption prevention

We may modify, suspend, or discontinue any feature of the Service at any time without notice. We may limit or throttle usage at our discretion to maintain service quality.

Scheduled maintenance may occur at any time. We will make reasonable efforts to notify users of significant planned downtime.

Force Majeure: We are not liable for any failure to perform due to circumstances beyond our reasonable control, including but not limited to natural disasters, internet outages, third-party service failures, government actions, or other force majeure events.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, VALIRI LLC SHALL NOT BE LIABLE FOR ANY:

• Indirect, incidental, special, consequential, or punitive damages
• Loss of profits, revenue, data, or business opportunities
• Damages arising from user content loss, even if caused by our error
• Damages relating to processing results quality or accuracy
• Damages caused by service interruptions, downtime, or modifications
• Damages arising from third-party services (Stripe, Supabase, etc.)

IN NO EVENT SHALL OUR TOTAL LIABILITY TO YOU EXCEED THE AMOUNT YOU PAID US IN THE THREE (3) MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM.

THESE LIMITATIONS APPLY REGARDLESS OF THE LEGAL THEORY (CONTRACT, TORT, STRICT LIABILITY, OR OTHERWISE) AND EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

You agree to indemnify, defend, and hold harmless Valiri LLC, its officers, directors, employees, agents, and affiliates from and against any and all claims, liabilities, damages, losses, costs, and expenses (including reasonable attorneys' fees) arising from or relating to:

• Your use of the Service
• Your content, including any claims of copyright infringement or defamation
• Your violation of these Terms
• Your violation of any third-party rights
• Any disputes between you and other users

We reserve the right to assume exclusive defense and control of any matter subject to indemnification by you, at your expense. You agree to cooperate fully with our defense of any such claims.

By You: By You: You may cancel your subscription and close your account at any time through your account settings. No refunds are provided for unused subscription time.

By Us: By Us: We may terminate or suspend your account:

• Immediately and without notice for violations of these Terms
• For any reason with 30 days' advance notice
• Immediately if required by law or legal process

Effects: Upon termination, your right to use the Service immediately ceases. We may delete your content according to our data retention policies (7 days for free accounts, 30 days for paid accounts). We have no obligation to preserve your content after termination.

Governing Law: These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to conflict of law principles.

Binding Arbitration: Binding Arbitration: Any dispute, claim, or controversy arising out of or relating to these Terms or the Service shall be resolved exclusively by binding arbitration administered by the American Arbitration Association (AAA) under its Commercial Arbitration Rules.

• Arbitration shall take place in Delaware or virtually, at our discretion
• The arbitrator's decision shall be final and binding
• Judgment on the arbitration award may be entered in any court of competent jurisdiction

Small Claims Exception: Small Claims Exception: Either party may bring qualifying claims in small claims court (claims under $10,000) in lieu of arbitration.

Legal Fees: Each party shall bear its own costs and attorneys' fees, except that the losing party in any arbitration or litigation shall pay the prevailing party's reasonable attorneys' fees and costs.

We reserve the right to modify these Terms at any time. We will provide notice of material changes by posting the updated Terms on the Service and updating the "Last Updated" date.

For material changes, we will provide at least 15 days' notice before the changes take effect. Notice may be provided via email or through the Service.

Your continued use of the Service after the effective date of any modifications constitutes your acceptance of the modified Terms. If you do not agree to the modified Terms, your sole remedy is to discontinue using the Service.
